Senior Paralegal, Back-Office Manager

Job Description

We are seeking a Senior Paralegal and Back-Office Manager to support our legal department. Responsibilities include: assisting in drafting and reviewing offering disclosure documents and subscription agreements; reviewing private placement memorandums; preparing and maintaining corporate governance documents; conducting legal and regulatory research; preparing and maintaining closing documents, fund flows, and SEC filings; tracking deadlines; coordinating document collection; interfacing with clients; working with Venture.co on offering establishment; coordinating with 3rd-party report providers and the accounting firm for investor tax documentation; and communicating with partners and investors.

Qualifications

1. Minimum 7 years of paralegal experience in securities, tax, or corporate law. 2. Experience supporting attorneys handling complex legal matters in major law firms or corporate legal departments. 3. Experience with drafting, securities disclosures, and securities filing support. 4. Mastery of document formatting, version control, and legal editing conventions. 5. Strong research skills using Westlaw, EDGAR, and IRS/Treasury databases. 6. Excellent verbal and written communication skills. 7. Experience using corporate and legal practice tools (MS Office, Zoom, Clio, NetDocuments, DocuSign). 8. Above-average editing and drafting capabilities with exceptional attention to detail. 9. Highly self-directed with reasoning and critical thinking skills, adaptable and capable of foreseeing possibilities.
